This is a starting template, not a finished legal document. The engagement terms mentioned on the Node&Flint Strategy site - the 90-Day Performance Guarantee, the 4-month minimum term, and asset ownership - are reflected here in plain language, but this page has not been drafted or reviewed by qualified legal counsel. Have an attorney formalize this into a binding services agreement before signing any client.

1. Services

Node&Flint Strategy provides digital infrastructure and operational efficiency consulting services as described in the applicable Statement of Work signed with each client, including but not limited to web development, CRM implementation, paid media management, technical SEO, legal/data-compliance diagnostics, and executive workflow workshops.

2. Fees and payment

Engagements follow a hybrid pricing model: a one-time Setup Fee due at contract signing, and a recurring monthly Retainer covering ongoing management and media spend, billed as specified in your plan. Media/ad spend is passed through at cost unless otherwise agreed in writing.

3. Minimum term

All plans carry a minimum initial term of four (4) months from the start of setup, reflecting the time required for infrastructure deployment and for results to become measurable.

4. The 90-Day Performance Guarantee

If a client's qualified pipeline has not measurably improved within 90 days of full deployment (as defined in the Statement of Work), Node&Flint Strategy will continue working the account at no additional retainer cost until that outcome is achieved, subject to the client's continued cooperation and provision of necessary access and information.

5. Ownership of deliverables

Deliverables built specifically for the client during the engagement - including the website, CRM configuration, and compliance documentation - are owned by the client upon full payment of associated fees. Node&Flint Strategy retains ownership of its internal methodologies, templates, and pre-existing tools used to deliver the work.

6. Legal audit scope and limitation

The Legal Audit & Data Compliance diagnostic included in setup is a technical review conducted in-house by our own team of data capture and handling practices against publicly available regional regulatory frameworks. It does not constitute legal advice and does not replace consultation with a licensed attorney. Implementation of custom legal policy, if needed, is coordinated directly with qualified independent legal counsel and billed separately by that counsel.

7. Limitation of liability

To the maximum extent permitted by law, Node&Flint Strategy's liability for any claim arising from these services is limited to the fees paid by the client in the three (3) months preceding the claim.
